This agreement is between ______________________ (the “Client”) and Digital Wolf Media (Steven Motes, Denton, Texas). It sets the standing terms for digital marketing work. Each job under this agreement gets its own statement of work, agreed in writing before work starts, describing the scope, the deliverables, and the price.
Effective date: ______________________
Each engagement is priced as agreed in its statement of work. The statement of work for each job names the exact price for that job.
Work outside a statement of work’s scope is not included in its price — if a job grows, the change is agreed in writing before the extra work starts.Invoices are due when they are issued. If an invoice goes unpaid, work on the engagement pauses until it is paid — the schedule moves with the pause. Deliverables transfer to the Client on full payment for the job that produced them (see “Who owns what” below).
The Client provides the access and information the work needs — logins the Client chooses to share, business records, decisions, and answers — in a timely way, so the work can keep moving. Accounts used in the work (the Client’s domain, payment processor, email, AI accounts, and similar) are the Client’s own accounts: the Client sets them up, owns them, and controls them.
During an active engagement, Digital Wolf Media responds to the Client’s messages about the work within 1 business day. Systems the Client owns and controls stay the Client’s to run — this agreement does not guarantee uptime for the Client’s own systems or for third-party services.
Each side keeps the other side’s non-public business information confidential and uses it only for the work. Client data shared for an engagement is handled the way the Data Processing Agreement describes: used only to do the hired work, and never sold, rented, or traded.
Digital Wolf Media’s total liability under an engagement is capped at the amount the Client paid under that engagement’s statement of work. Neither side is liable to the other for indirect losses, such as lost profits, under this agreement.
Either side can end this agreement in writing. Ending it does not erase the bill for work already done: the Client pays for the work completed up to the day the notice lands, and deliverables for paid work transfer as described above. Retainers end at the close of the period already paid for, unless both sides agree otherwise in writing.
Nothing in this agreement guarantees revenue or results for the Client’s business. What the work produces depends on the Client’s business and how the work gets used. Digital Wolf Media does not make earnings claims.
This agreement is governed by the laws of the State of Texas.
